ABCANN AND CANNABIS WHEATON ANNOUNCE SIGNING OF AGREEMENT FOR FIRST TRANCHE $15 MILLION INVESTMENT

Further to their joint news release dated May 29, 2017, ABcann Global Corp. and Cannabis Wheaton Income Corp. have signed a definitive subscription agreement pursuant to which Cannabis Wheaton has agreed to purchase $15-million of ABcann common shares at an agreed-upon valuation of $2.25 per share. The first subscription forms part of a larger phased investment by Cannabis Wheaton to finance the development of ABcann's proposed cannabis cultivation facility to be located in Napanee, Ont., known as the Kimmett facility. Completion of the first subscription is expected to occur by July 31, 2017, subject to the fulfilment of customary closing conditions, including applicable TSX Venture Exchange approvals.

Chuck Rifici, chief executive officer of Cannabis Wheaton, commented: "We are delighted to be partnering with ABcann and its first-class management team in the buildout of the Kimmett facility and expansion of ABcann's cultivation footprint. ABcann is an important strategic partner for Cannabis Wheaton and enhances the overall strength of our platform."

Aaron Keay, chief executive officer of ABcann, remarked: "We are pleased to move forward with the initial funding phase of our partnership with Cannabis Wheaton and to welcome them as new equity holders in ABcann. This represents Cannabis Wheaton's first funding allocation, and we look forward to this mutually beneficial relationship as we advance both of our respective companies."

Hoss, I think it is sector weakness check the Marijuana Index, just broke to new lows, the way I read this, the index needs to stay above 200 or further weakness can be expected, maybe down to 150 area

The Globe and Mail reports in its Saturday, July 1, edition that Canada is building a big lead in a brand new global industry. The Globe's Tim Shufelt writes that Canada is soon to be the first Group of 20 country to legalize the sale of recreational marijuana. Cannabis Wheaton Income chief executive officer Chuck Rifici says, "There's a very good chance that in the decades to come we'll see some of the top multinational cannabis companies in the world having Canadian roots." This Canada Day marks the start of the one-year countdown, by which time the Cannabis Act is expected to come into force. Meanwhile, the future of the cannabis-reform movement in the United States darkened with the transition to a Republican administration, which counts marijuana hard-liners in its senior ranks. That essentially gives Canada first crack at establishing a position of strength in the legal pot trade. While the U.S. industry is relegated to a handful of states where medicinal and recreational cannabis has been legalized, federal Canadian legalization can help build a lead in establishing a network of investors, and allowing the industry to grow and evolve. Mr. Rifici calls the U.S. prohibition "a gift to Canada."

PNC Bank is stopping access for MPP after years

Last week, a story broke that PNC Bank was closing the bank account of the influential cannabis legalization group, the Marijuana Policy Project. PNC chose to act due to the fact, the MPP takes donations from businesses that operate within the cannabis industry. Banks were given guidelines in 2014 by the Financial Crime Enforcement Network, a law enforcement arm of the U.S. Treasury, on how financial institutions can stay within compliance when doing business with cannabis related businesses.

CANNABIS WHEATON ANNOUNCES CLOSING OF $50.2 MILLION OFFERING

Cannabis Wheaton Income Corp. has closed its previously disclosed private placement of special warrants and convertible debenture units for aggregate gross proceeds of $50,252,203. The company raised $30-million through the issuance of 30,000 convertible debenture units at a price of $1,000 per convertible debenture unit and $20,252,203 through the issuance of 20,252,203 special warrants at a price of $1 per special warrant. The net proceeds of the offering will be used primarily to finance the company's streaming partners and for general corporate and working capital purposes.

Mackie Research Capital Corp. acted as lead agent and sole bookrunner in the offering and received a cash commission of $3,419,549 together with 3,419,549 broker warrants. The terms of the offering are further described in the company's news release dated June 6, 2017.

All securities issued in the offering are subject to a statutory four-month hold period, subject to the earlier filing of a (final) short-form prospectus with the relevant Canadian securities qualifying such securities for resale, as applicable. There is no assurance that a qualifying prospectus will be filed or that a receipt therefor will be obtained prior to the expiry of the statutory four-month hold period. The offering remains subject to customary postclosing filings with the TSX Venture Exchange. A second tranche of the offering is expected to close in July, 2017.

According to Globe and Mail piece

For 2017's fourth quarter, Canopy's most recent, it brought in revenue of $14.7-million, a 191-per-cent increase over a year earlier. Beacon Securities analyst Vahan Ajamian says the revenue number was "essentially in line" with his $15-million forecast, but below the analyst consensus of $16.4-million. Mr. Ajamian notes his estimate was the Street low. Canopy revealed a wider loss for the quarter of $21.1-million or 14 cents a share, versus a loss of $5.1-million or five cents for the same quarter a year prior. Expansion expenses helped drive the loss.
